As a founder and managing partner of SLG, David Shlansky has extensive experience in corporate joint ventures, technology transfer, intellectual property licensing, business real estate and other aspects of corporate law, including employment and regulatory compliance. David is especially experienced at representing entrepreneurial clients from business inception and startup through successive rounds of financing and growth.

In addition to his corporate practice, David maintains an active litigation and dispute-resolution practice in the areas of intellectual property protection, employment, shareholders’ rights, real estate development and contract compliance.

David has represented clients in proceedings in the state trial courts of New York, New Jersey, Pennsylvania, Delaware, Virginia, Texas, and Vermont, as well as the federal courts in Massachusetts, New York, Vermont, Maine, Pennsylvania, Virginia, Florida, Arkansas, Colorado, and California.

im McEvilly has extensive experience litigating securities class actions, corporate litigation, complex commercial litigation and business disputes in state and federal courts throughout the United States from inception through trial. At SLG, Jim represents plaintiffs and defendants in business litigation in state and federal courts throughout the United States.

Before joining SLG, Jim has been an attorney at prominent law firms in Wilmington, Delaware and in Philadelphia, Pennsylvania, and was actively involved in representing institutional investor lead plaintiffs in large complex securities class actions, including In Re Tyco Securities Litigation ($3.2 billion class recovery) and In Re Marsh & McLennan Companies, Inc. Securities Litigation ($400 million recovery). Jim was also centrally involved in representing shareholders in corporate control litigation, including representing institutional investors in the Caremark/CVS Merger Litigation in the Court of Chancery in the State of Delaware (LAMPERS v. Crawford, C.A. No. 2365-N, Del. Ch. 2006). That landmark action forced CVS to increase the consideration offered to Caremark shareholders by a total of $3.3 billion ($7.50 per share) in cash, issue a series of additional material disclosures, and twice postpone the shareholder vote on the transaction to permit shareholders to digest the new disclosures.

Jim was also involved as lead counsel in representing seatholders in the New York Stock Exchange Merger Litigation in the Supreme Court of the State of New York and has represented clients in proceedings in the state and federal courts of Pennsylvania, Delaware, New Jersey, New York, and California, as well as in the federal courts in Indiana, New Hampshire, Virginia, and Michigan.

Colin Hagan focuses on commercial litigation matters including business disputes and shareholder derivative actions. He also focuses on regulatory enforcement actions as well as employment disputes.

Before joining SLG, Colin served in the Office of General Counsel at the U.S. Environmental Protection Agency, and as a consultant in the fields of environmental and energy policy.

Colin has represented individual and business clients in proceedings in the state courts of Massachusetts and Vermont, including in Vermont’s designated environmental court, as well as before federal courts in Massachusetts, New York, Connecticut, California, Colorado, and Indiana. Colin’s work involves motion practice at all stages of litigation. He also oversees appeals in several appellate courts. Recently, Colin has helped to achieve significant client victories, including surviving summary judgment on employment retaliation claims brought under Title VII and securing dismissal for a client at the pleadings stage in federal court in Indiana.

Matthew Khoury focuses his practice on commercial litigation, including complex business and contract disputes, and matters related to labor and employment.

Before joining SLG, Matthew engaged in pro bono work representing low-income tenants facing summary process proceedings, where he negotiated settlements and aggressively litigated issues on their behalf. Matthew was also a summer associate at Clare Locke LLP, a litigation firm located in Alexandria, Virginia, where he assisted in a variety of matters related to defamation, medical malpractice, business conspiracy, trade secrets, and contract disputes, among other matters. Matthew also previously acted as a Tax Law Intern for Bloomberg BNA where he collaborated with counsel to develop an international tax tracker, monitoring changes in 114 countries. He also translated related documents from Arabic for use in the international tracker.

Kat Varnum acts as a Corporate and Litigation Paralegal and manages its client and legal services processes, along with overseeing the team that manages SLG’s administrative functions.

Before joining SLG, Kat worked in a marketing role and as the Director of Office Services at a Boston law firm specializing in bankruptcy and business matters, and has also worked as a Real Estate Paralegal in Maine, handling real estate transactions, title insurance matters, and assisting with probate and trust and estate matters. As a Contract Administrator for a multi-site, hospital-based healthcare corporation, Kat also has experience with corporate compliance issues and transactions involving companies of all sizes in various aspects of business, from vendor relations to medical suppliers to employment matters. Kat is a graduate of Connecticut College, in New London, Connecticut.
